Terms of Service

1. Acceptance of Terms
By creating an account on Howdy Ag (“the Service”), operated by Howdy Hills LLC (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.
2. Description of Service
Howdy Ag is a web-based farm management and marketplace platform designed for small livestock and agricultural operations. The Service provides tools for herd and flock tracking, beekeeping and apiary management, financial record-keeping, egg production logging, grazing and pasture management, breeding records, feed and hay inventory, equipment tracking, invoicing, tax reporting assistance (IRS Schedule F), an AI-powered farm assistant, and a public marketplace for farm discovery, livestock listings, and product sales. The Service is not a substitute for professional accounting, legal, or veterinary advice.
3. Account Types & Eligibility
You must be at least 18 years old and legally able to enter into a binding agreement. You are responsible for maintaining the security of your account credentials. One natural person may not maintain more than one free-tier account.
The Service supports two types of accounts:
- Farm accounts (“Farmer accounts”). Used to manage farm operations, create marketplace profiles, and sell products. Farm accounts may have multiple team members (see Section 5).
- Consumer accounts. Used by buyers and visitors to save favorite farms, place marketplace orders, sign up for farm newsletters, and manage order history. Consumer accounts do not have access to farm management features.
4. Subscription Tiers & Billing
The Service is offered in multiple tiers (Free, Homestead, Plus, and Pro) as described on our pricing page. Paid plans are billed monthly or annually through Stripe. You may cancel at any time; access continues through the end of your paid period. We reserve the right to adjust pricing with 30 days’ notice. Refunds are issued at our sole discretion.
5. Teams & Multi-User Access
Farm accounts support multiple team members under a single organization. The account owner may invite additional users via email invitation or join code and assign them a role that controls their level of access. Available roles include owner, partner, manager, farmhand, farm sitter, bookkeeper, and veterinarian.
- Shared data. All team members within an organization share access to the same farm data (animals, financials, records, etc.) subject to their role’s permissions. The account owner is responsible for ensuring that team members use the Service in accordance with these Terms.
- Role-based permissions. Different roles grant different levels of access. For example, a farm sitter has limited read-only access, while an owner has full control including the ability to manage team membership and billing. The account owner is responsible for assigning appropriate roles.
- Removing members. The account owner or authorized roles may remove team members at any time. Removed members immediately lose access to all organization data.
6. Marketplace & Public Profiles
The Service includes a public marketplace that allows farmers to create publicly visible farm profiles, list products and services for sale, and list livestock for sale. By creating a marketplace profile, you acknowledge and agree to the following:
- Public visibility. Your farm profile — including your farm name, location (city, state, and approximate coordinates), contact information, photos, farming practices, product categories, and any other information you add to your profile — will be publicly accessible to anyone on the internet, including users who do not have a Howdy Ag account.
- Livestock listings. When you list an animal for sale, the listing details (breed, age, sex, registration number, registry, genetic traits, and pedigree information) are publicly visible. If you link a listing to an animal record in your herd management system, relevant data from that record will be displayed publicly on the listing.
- Product & service listings. Items you list for sale (products, baked goods, produce, services, etc.) are publicly visible on your farm profile and in search results.
- Discovery & search. Your public profile and listings may appear in search results on the Howdy Ag discover page, livestock search, and external search engines. Search placement may be influenced by your subscription tier, account activity, and proximity to the searcher.
- Customer signup. You may generate a public signup link or QR code that allows consumers to register and follow your farm. You are responsible for any representations made alongside these materials (e.g., on printed signage at a farm stand).
- Contact information. If you provide a phone number, email address, website, or social media links on your profile, these will be visible to the public and may be used by prospective buyers to contact you directly.
- Accuracy. You are solely responsible for the accuracy of your marketplace profile, listings, and any claims about your farm, animals, or products. You agree not to post misleading, fraudulent, or deceptive content.
- Removal. You may unpublish your farm profile or remove individual listings at any time. Previously cached versions may remain in external search engine indexes for a period outside our control.
7. Online Sales & Payments
Certain subscription tiers enable online sales through the marketplace. Online payment processing is handled by Stripe Connect. By enabling online sales, you agree to the following:
- Stripe Connect. You will create and maintain your own Stripe Connect account, subject to Stripe’s Connected Account Agreement. Howdy Ag facilitates the connection but does not hold or process payment funds on your behalf.
- Buyer transactions. When a buyer purchases from your marketplace listing, their payment is processed by Stripe and deposited into your Stripe Connect account. You are responsible for fulfilling orders, handling disputes, and complying with applicable consumer protection laws.
- Fees. Stripe charges processing fees on each transaction. We may also charge a platform fee as described on our pricing page. Fee changes will be communicated with 30 days’ notice.
- No guarantees. We do not guarantee that any buyer will purchase from you, that transactions will be dispute-free, or that Stripe will approve or maintain your Connected Account.
8. Invoicing & Public Invoice Links
The Service allows you to create invoices and share them with customers via a unique link (token-based URL). By using the invoicing feature, you acknowledge that:
- Public access. Anyone with the invoice link can view the invoice details (your farm name, customer name, line items, amounts, and payment status) without logging in. You are responsible for sharing invoice links only with intended recipients.
- Not a payment processor. Invoices are informational documents. Payment collection is your responsibility. We do not process invoice payments directly unless you have Stripe Connect enabled for online sales.
9. Marketplace Platform Disclaimer
Howdy Ag is a venue and listing platform only. We are not a seller, buyer, broker, agent, or party to any transaction conducted through the marketplace. We do not manufacture, store, handle, inspect, verify, or deliver any product, animal, or service listed by sellers. By using the marketplace — whether as a seller or a buyer — you acknowledge and agree to the following:
- No verification of listings. We do not verify, inspect, or guarantee the legality, safety, quality, accuracy, or regulatory compliance of any product, animal, or service listed on the marketplace. Listings are created entirely by sellers and reflect only the information they choose to provide.
- Seller responsibility for legal compliance. Sellers are solely responsible for complying with all applicable local, state, and federal laws and regulations governing the sale of their products, including but not limited to USDA meat inspection requirements, state dairy and raw milk laws, egg grading and labeling rules, food safety and cottage food regulations, livestock health certificates, brand inspection requirements, and any required permits, licenses, or certifications. We do not provide legal advice regarding the legality of any product or transaction.
- No representation of legality. The availability of a product category on the platform (such as raw milk, meat, eggs, live animals, or value-added goods) does not constitute a representation by Howdy Ag that the sale of such products is legal in your jurisdiction. Laws governing the sale of agricultural products vary significantly by state, county, and municipality. You are responsible for determining whether a product may legally be sold or purchased in your location.
- Buyer assumption of risk. Buyers purchase products and animals at their own risk. We make no warranties regarding the fitness, safety, health, genetic quality, registration status, or merchantability of any item listed on the marketplace. Buyers are encouraged to conduct their own due diligence, request documentation, and inspect products and animals before completing a transaction.
- Transactions are between buyers and sellers. All marketplace transactions are solely between the buyer and the seller. We are not responsible for the fulfillment, quality, safety, or legality of any transaction, nor for any disputes, claims, losses, injuries, or damages arising from marketplace purchases. Any recourse for a defective, misrepresented, unsafe, or illegal product is solely against the seller.
10. AI-Powered Features
The Service includes features powered by artificial intelligence (AI), provided by third-party AI services (currently Anthropic Claude). These features include:
- Receipt scanning. You may upload photos of receipts. The AI extracts transaction details (merchant, amount, date, line items) for your review and approval before any data is saved to your account.
- Farm assistant. An AI-powered chat assistant that can answer questions about your farm data, including animal records, financial summaries, grazing status, and production metrics. When you use the assistant, relevant portions of your farm data are sent to the AI provider to generate responses.
- Pedigree extraction. You may upload screenshots of pedigree documents. The AI extracts animal lineage data for your review before saving.
- Smart insights. The Service may generate AI-powered insights about your farm operations (financial trends, livestock alerts, production patterns). These insights are informational only and do not constitute professional advice.
- CSV import mapping. When you import data via CSV, AI may be used to map your column headers to the correct fields.
AI-generated content is not guaranteed to be accurate. You are responsible for reviewing all AI-generated suggestions before accepting them. AI features are subject to usage limits based on your subscription tier. Data sent to AI providers is used solely to generate your results and is not used to train AI models. 11. Notifications & Communications
The Service may send you notifications through the following channels:
- In-app notifications. Alerts about breeding due dates, health reminders, overdue tasks, equipment maintenance, invoice status, and other farm management events.
- Email digests. Periodic summary emails of pending notifications. You may configure digest frequency or opt out of non-essential emails in your notification preferences.
- Push notifications. If you subscribe to browser push notifications, we will send time-sensitive alerts to your device. You may unsubscribe at any time through your browser settings or notification preferences.
- Transactional emails. Account verification, password resets, billing receipts, and legal policy updates. These cannot be opted out of while your account is active.
12. Blog & Email Signup
The Service includes a public blog and email signup forms. By providing your email address through a signup form (on the blog, a farm’s customer signup page, or elsewhere on the site), you consent to receiving the communications described at the point of signup. You may unsubscribe at any time. We comply with the CAN-SPAM Act and will not sell your email address to third parties.
13. Demo Accounts
We may offer a demo mode that allows prospective users to explore the Service with pre-populated sample data. Demo accounts are shared and should not be used to enter real farm data. We make no guarantees about the availability or persistence of data entered in demo mode.
14. Your Data & Content
You retain full ownership of the data you enter into the Service (“Your Data”). We do not claim any intellectual-property rights over Your Data. You grant us a limited license to host, store, back up, and display Your Data solely to provide the Service to you. For marketplace features, you additionally grant us a license to display your public profile information, photos, and listing details to the general public as part of the farm discovery and search functionality. You may export or delete Your Data at any time.
15. Intellectual Property
The Service, including its source code, user interface, design, logos, documentation, and all related intellectual property, is owned by Howdy Hills LLC and protected by applicable copyright, trademark, and other intellectual-property laws. Nothing in these Terms grants you any right, title, or interest in the Service itself — only the right to use it as described here.
16. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose.
- Attempt to reverse-engineer, decompile, or extract source code from the Service.
- Share your account credentials or allow unauthorized third parties to access your account.
- Upload malicious code, interfere with the Service’s operation, or abuse the API.
- Use automated tools (bots, scrapers, or scripts) to access the Service or extract data from it, unless expressly permitted through a published API.
- Create multiple free-tier accounts to circumvent animal or usage limits.
- Resell access to the Service without our written consent.
- Post false, misleading, or fraudulent content on marketplace profiles or listings, including misrepresenting animal breeds, registration status, genetics, or health.
- Use the marketplace to sell prohibited items, including but not limited to controlled substances, stolen property, or items that violate local, state, or federal law.
- Harvest contact information from farm profiles or listings for spam, unsolicited marketing, or any purpose unrelated to a legitimate buyer inquiry.
- Abuse AI-powered features by submitting content designed to extract system prompts, bypass usage limits, or generate harmful output.
We reserve the right to define and enforce fair-use limits on API calls, AI queries, data imports, and other system resources. Accounts that exceed these limits may be throttled or suspended with notice. We may also remove marketplace listings or unpublish profiles that violate these Terms.
17. Schedule F & Financial Disclaimers
The Service provides tools to assist with IRS Schedule F categorization and reporting, including depreciation calculations (MACRS, Section 179, straight-line), cost analytics, and financial comparisons. These tools are informational only and do not constitute tax, accounting, or financial advice. We are not a CPA firm or tax advisory service. You are solely responsible for the accuracy of your tax filings. Always consult a qualified tax professional before filing.
18. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any data (including Schedule F categorizations, financial calculations, AI-generated content, genetic reports, weather data, or marketplace search results) will be accurate or complete.
19. Availability & Support
We strive for high availability but do not guarantee 100% uptime. Scheduled maintenance windows will be communicated in advance when possible. Support is provided via email at support@howdyag.farm. Response times vary by tier and are not guaranteed.
20. Limitation of Liability
To the maximum extent permitted by law, Howdy Hills LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to loss of data, loss of profits, livestock-related losses, losses arising from reliance on AI-generated content, or losses arising from marketplace transactions between buyers and sellers. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.
21. Indemnification
You agree to indemnify and hold harmless Howdy Hills LLC and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or content you publish through the marketplace (including farm profiles, listings, and product descriptions).
22. Termination & Data Export
We may suspend or terminate your account if you violate these Terms, with reasonable notice where possible. Upon termination, your public marketplace profile and listings will be unpublished, and any outstanding public invoice links will be deactivated. You may request an export of Your Data within 30 days. After that 30-day window, we may begin deleting Your Data from our production systems. Residual copies in encrypted backups may persist for up to 90 days before being fully purged. Marketplace analytics data (impression counts, search statistics) may be retained in anonymized, aggregate form.
23. Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure outages, third-party service provider failures, pandemics, or acts of war or terrorism.
24. Dispute Resolution
If a dispute arises under these Terms, you agree to first attempt to resolve it informally by contacting support@howdyag.farm. If the dispute is not resolved within 30 days, either party may initiate binding arbitration administered under the rules of the American Arbitration Association. Arbitration will take place in the Commonwealth of Virginia. Either party may bring claims in small-claims court as an alternative to arbitration. Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction.
Disputes between buyers and sellers on the marketplace are between those parties. We are not a party to marketplace transactions and are not responsible for resolving disputes between buyers and sellers, though we may assist on a voluntary basis.
25. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will notify you via email or an in-app prompt and require you to affirmatively accept the updated Terms before continuing to use the Service. For non-material changes, your continued use of the Service after the effective date constitutes acceptance. If you do not agree to updated Terms, you may cancel your account and request a data export.
26. Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-law provisions.
